1. Agreement to Terms

By accessing or using Culturata NDA (“the Service”), operated by Culturata (“we,” “us,” or “our”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.

2. Description of Service

Culturata NDA is a platform for creating, sending, and electronically signing Non-Disclosure Agreements based on the oneNDA v2.1 open-source standard. The Service facilitates document generation, electronic signatures, and document storage.

3. Not Legal Advice

The Service provides a standardized NDA template and electronic signing functionality. We are not a law firm and do not provide legal advice. The oneNDA template is provided as-is from the oneNDA project. You should consult with a qualified attorney if you have specific legal questions about your NDA or its enforceability.

4. Accounts

You must create an account to send NDAs. You are responsible for maintaining the security of your account credentials. Countersigning an NDA does not require an account, but downloading signed documents does.

You agree to provide accurate information when creating your account and when generating NDAs. You may not use the Service for any unlawful purpose.

5. Subscriptions & Payments

Creating and sending NDAs requires a paid subscription at $19 per year. Countersigning NDAs sent to you is always free.

Subscriptions are billed annually through Stripe. You may cancel at any time through the billing portal. Canceled subscriptions remain active until the end of the current billing period.

We reserve the right to change pricing with 30 days notice. Existing subscriptions will be honored at their current rate until renewal.

6. Electronic Signatures

By using the Service to sign an NDA, you consent to conducting business electronically and agree that your electronic signature is legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA).

Each signature is recorded with a timestamp, IP address, user agent, and a SHA-256 hash of the document for tamper evidence.

7. Document Storage & Retention

Signed NDAs and their audit trails are stored securely for the duration of the confidentiality period specified in the agreement. We do not modify documents after signing. You are responsible for maintaining your own copies of signed agreements.

8. Limitation of Liability

To the maximum extent permitted by law, Culturata shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your account at any time for violation of these terms. You may close your account at any time. Upon termination, your access to create new NDAs will cease, but existing signed NDAs will remain accessible for download.

10. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
